University of Cincinnati Flying Club
Constitution
ARTICLE 1 - NAME
- The
name of this club shall be the University of Cincinnati Flying Club,
hereinafter referred to as UC Flying Club.
ARTICLE 2- PURPOSE

To promote, educate and
advance the knowledge and skills of the members in aeronautical, navigational,
and piloting subjects.
ARTICLE 3 - MEMBERSHIP

There shall be two classes of members: voting and
non-voting.
·
Voting membership shall be open to any full or part
time graduate or undergraduate students enrolled in any of the colleges,
schools, or divisions of the University of Cincinnati.
·
Non-voting membership shall be open to any member of
the University faculty, staff, or alumnus of any of the colleges, schools, or
divisions of the University of Cincinnati.
·
The total number of non-voting members together shall
not exceed the number of voting members. The number of graduate voting
members shall not exceed the number of undergraduate voting members.
ARTICLE 4 – OFFICERS
- The
officers of the UC Flying Club shall include President, Vice President,
Secretary and Treasurer.
Hereinafter referred to as Board of Directors.
- The
Board of Directors shall be elected by the Club membership at the first
meeting at the start of the fall quarter. The Board of Directors shall hold office for twelve (12)
months or until a qualified successor is elected.

Each officer shall be a voting member and a
matriculating undergraduate student achieving and maintaining a 2.0 quarterly
grade point average and in good standing with his/her respective college.
- Each
officer of the Board of Directors shall serve without compensation or
reward.
- The
Treasurer shall not be bonded unless otherwise specified by the Board of
Directors.
ARTICLE 4 – MEETINGS

Every attempt will be made to hold regular meetings of
the UC Flying Club once per quarter.
Times and locations of such meetings shall be determined by the Board of
Directors.

Special meetings of the UC Flying Club may be called at
any time by the Board of Directors upon one week's notice to each member or by
a petition of a majority of the voting membership, submitted one week before
the scheduled meeting.
ARTICLE 4 – UNIVERSITY ADVISOR
- The
UC Flying Club shall have a University Advisor who shall be a full time
member of the University faculty, staff, or administration. The
University Advisor shall be selected by the Board of Directors and kept
current of all club activities.
By-laws
ARTICLE
1 – BOARD OF DIRECTORS
PRESIDENT
- The
President shall be the Chief Executive Officer of the UC Flying Club. He
shall preside at all meetings of the UC Flying Club and Board of
Directors. He may call special meetings of the members of the UC Flying
Club and Board of Directors and shall have, subject to the advice and
consent of the Directors, general charge of the business of the UC Flying
Club. The President shall execute with the Secretary, in the name of the
UC Flying Club, all Memberships, contracts, and instruments, other than checks,
which have been first approved by the Board of Directors.
- The
President shall be responsible to the Board of Directors for the operation
of the UC Flying Club. He shall make and enforce decisions regarding the
suitability of all equipment and the qualifications of all members for
every type of flight operations. He shall recommend for the approval of
the Board of Directors all operational rules of the Club and shall report
with recommendations all violations of such rules by any member of the
Club.
- The
President shall preside at all meetings of the UC Flying Club and shall
act as spokesman for the club in all matters pertaining to it.
VICE PRESIDENT
- The
Vice President shall be vested with all of the powers and shall perform
the duties of President in the case of the absence or disability of the
President.
- The
Vice President shall also perform such duties connected with the
operations of the Club as he may undertake at the suggestion of the
President.

The Vice President shall act for the President when he
is unable to serve, and carry the President's vote by proxy.
SECRETARY
- The
Secretary shall keep the minutes of all proceedings of the members and
Board of Directors in books provided for that purpose. He shall attend to
the giving and serving of notices of all meetings of members and the Board
of Directors and otherwise. He shall keep a proper membership book showing
the name of each member of the Club, the book of By-Laws and such other
books and papers as the Board of Directors may direct. He shall execute
with the President, in the name of the UC Flying Club, all certificates of
membership, contracts, and instruments, other than checks, which have been
first approved by the Board of Directors.
- The
Secretary shall maintain a record of each member’s qualifications.
- The
Secretary shall also perform such duties connected with the operation of
the UC Flying Club as he may undertake at the suggestion of the President.

The Secretary shall handle all correspondence
pertaining to the UC Flying Club business including the Club's publications
(rosters, field rules, copies, etc.).
TREASURER
- The
Treasurer shall execute in the name of the UC Flying Club all checks for
the expenditures authorized by the Board of Directors. He shall receive
and deposit all UC Flying Club funds in the bank selected by the Board of
Directors, which funds shall be paid out only by check as herein before
provided. He shall also account for all receipts and disbursements, and
balance on hand.
- The
Treasurer shall also perform such duties connected with the operation of
the UC Flying Club as he may undertake at the suggestion of the President.
- The
Treasurer shall collect and keep a record of all moneys due, received and
disbursed. He shall procure a checking account in the UC Flying Club's
name, using his own and the President's signature
ARTICLE 2 - TERM OF OFFICE
- All
officers of the UC Flying Club shall serve for one year from date of
election.
- The
election of officers shall be done annually at the September meeting. Official Ballots will be published to
the membership via the list server. Voting will take place at the
September meeting through the Official Ballots.
ARTICLE 3 - VACANCIES
- Vacancy
in any office except President and Vice President shall be filled by
appointment by the Board, such appointee to serve until the end of the
term for which his predecessor was elected. Vacancy in the office of President will be filled by the
Vice President and he shall appoint a new Vice President. In the event the
President and Vice President both vacate at the same time, the Board will
appoint a new President only. The new President will then appoint his Vice
President.
ARTICLE 4 - MEETINGS
- At
any UC Flying Club meeting, a quorum shall be defined as one-fifth of the
total voting membership and two officers. At any Board meeting a
two-thirds majority vote shall be required for motion passage.
ARTICLE 5 - DUES AND FEES

The billing cycle starts on September 1st. Payment is due to the Treasurer by the last
day of the month. No late fees will be charged. Members will be grounded if their dues are not paid.

Dues will paid as follows;

Pilot $100
Non-Pilot $10
UC
Alumni
Pilot $300
Non-Pilot $30
ARTICLE 6 - SPECIAL FUNDS
- The
Treasurer is authorized to receive contributions or specially obtained
funds from any individual or institution to be applied to the operating
expenses of the UC Flying Club.
ARTICLE 7 – INSURANCE
·
The UC Flying Club does not provide personal liability,
property, or aircraft insurance for its members. Pilots are strongly urged to check with their FBO to determine
the amount of hull coverage necessary to satisfy the FBO’s insurance policy. Pilots and members are also strongly urged
to check their personal life insurance policies as most have exclusions for and
require a separate rider for General Aviation.

Students and Alumni Pilots that rent aircraft are bound
contractually to that FBO. The UC
Flying Club will make monetary payments to the FBO to cover hourly rental, fuel
surcharges, and other expenses pertaining to normal operations of said
aircraft. The UC Flying Club is not
responsible for any charges above and beyond club authorized activities. Any fees or charges that arise from misuse or
bad judgment made by the pilot will be the responsibility of the pilot.
ARTICLE 8 – PILOTS

All FAA requirements must be satisfied. e.g.
Pilot certificate
Current medical certificate
Current flight review
FBO Currency requirements
Any required endorsements
ARTICLE 9 - AMENDMENTS
- Amendments
may be made to this Constitution and By-Laws by majority vote of those
members present at an official meeting, provided, however, that prior
notice of proposed changes are published on the web site and notification
sent to members on the list server.
